Terms of Service
These terms govern use of the Nuwat website, desktop application, APIs, and related services (the “Service”).
Effective date and provider
Effective date: September 19, 2026. The Service is offered under the Nuwat name. By creating an account or using the Service, you agree to these terms.
1. What Nuwat does
Nuwat provides AI-assisted development tools. Depending on the feature, it may inspect projects, read files, plan and edit code, run approved commands, build or test, find errors, use supported developer tools, and call third-party AI models. Outputs are not guaranteed to be correct, secure, complete, or suitable for your use.
2. Your account
Keep your account and credentials secure, provide accurate information when required, and notify us if you suspect compromise. You are responsible for activity through your account. Do not use another person’s account without permission or share access in breach of your plan.
3. Your projects and content
You retain ownership of the code, prompts, files, data, and other material you provide (“User Content”). You give Nuwat only the rights needed to host, process, transmit, reproduce, and use that content to provide, secure, maintain, and improve the Service as described in these terms and the Privacy Policy. You must have the right to provide the content.
4. AI-generated output
Subject to applicable law and third-party rights, you may use output generated for you. AI output may be wrong, incomplete, insecure, or unexpected, and similar output may be generated for others. Review and test it before production use or important decisions, especially authentication, permissions, migrations, security-sensitive code, destructive commands, infrastructure, payments, and production changes.
5. Permission to work on your project
Some features may edit files or run commands on your device or development environment. When you authorize an operation, you instruct Nuwat to perform it for you. Review changes and keep suitable backups or version-control history before significant edits.
6. Third-party services
Nuwat may use external AI models, infrastructure, and developer services. If you connect your own provider account or credentials, that provider’s separate terms may apply. Its availability, pricing, limits, performance, and features can change independently; Nuwat is not responsible for services outside its control.
7. Acceptable use
Do not use Nuwat to break the law; access systems or data without permission; spread malware; compromise the Service; bypass security or usage controls; scrape or overload it; impersonate others; infringe intellectual-property or privacy rights; or materially harm Nuwat, its infrastructure, or users. We may restrict access when reasonably needed to protect them.
8. Plans and payments
Nuwat may offer free and paid plans with different features, models, allowances, and limits. Paid prices will be shown before purchase. Subscriptions may renew unless canceled; taxes may apply; and extra usage may require an upgrade, credits, or a separate payment where offered. Material changes to existing paid subscriptions will be communicated as applicable law requires.
9. Connected accounts and API keys
If you connect your own account, API key, subscription, or credential, make sure you are authorized to use it. You are responsible for provider charges, its terms, and credential security. Do not publish private keys in source code.
10. Beta features
Nuwat is under active development. Preview or experimental features may change, have bugs, behave unexpectedly, become unavailable, or be discontinued. Use care before relying on them in production.
11. Nuwat intellectual property
Nuwat’s software, branding, interface, website, documentation, and other materials belong to Nuwat or its licensors and are protected by applicable law. No rights transfer except those expressly granted here. Do not use our name or marks to imply endorsement or affiliation without permission.
12. Feedback
You allow us to use suggestions, ideas, and bug reports you submit to develop and improve the Service without restriction or payment. This does not transfer ownership of your project or source code.
13. Availability
We aim for a reliable Service but cannot promise uninterrupted access. Maintenance, bugs, infrastructure problems, provider outages, and security incidents can interrupt it. Features may change as the product develops.
14. Disclaimers
To the extent allowed by law, the Service is provided “as is” and “as available.” We do not guarantee accurate output, secure or defect-free code, successful completion of every task, suitability for every requirement, or uninterrupted availability. Review, test, and validate work produced with the Service.
15. Limits of liability
To the extent allowed by law, Nuwat and its owners, staff, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, goodwill, or opportunities related to the Service. Some jurisdictions do not allow certain exclusions or limits, so parts of this section may not apply to you.
16. Indemnification
To the extent allowed by law, you agree to indemnify Nuwat against claims, losses, damages, and expenses arising from unlawful use, breach of these terms, infringement of others’ rights, or content you provide.
17. Suspension and termination
You may stop using Nuwat at any time. We may suspend or end access for serious or repeated violations, fraud or security concerns, legal requirements, non-payment, or material risk to Nuwat or others. We may give advance notice where appropriate.
18. Changes
We may update these terms as the Service changes. We may notify you of material changes through the Service or another reasonable method. Continued use after updated terms take effect means acceptance where applicable law permits.
19. Governing law and disputes
The law and forum applicable to a dispute depend on your location and any mandatory consumer protections that apply. Nothing in these terms removes rights that cannot be excluded by applicable law.
20. General
If a provision cannot be enforced, the rest remains effective. A failure to enforce a provision is not a waiver. You may not transfer your rights without permission unless law allows it. We may assign these terms in a merger, acquisition, restructuring, or business sale.
